By registering as an instructor on the Adhyaas platform, you agree to comply with these Instructor
Terms (“Terms”). These Terms outline important information specifically related to instructors and
form part of our broader Terms and Conditions, which govern your overall access to and use of our
Services. Any capitalized terms used but not defined here carry the meanings assigned to them in the
Terms and Conditions.
1. Instructor Obligations
As an instructor, you are solely responsible for all the content you submit to the platform. This
includes, but is not limited to, lectures, quizzes, coding exercises, practice tests, assignments,
downloadable resources, responses, course landing page content, labs, assessments, and announcements
(“Submitted Content”).
By submitting content, you affirm and guarantee that:
a. You will provide and maintain accurate and up-to-date
account details.
b.You either own or have secured all necessary licenses,
rights, consents, and permissions to authorize Adhyaas to use your Submitted Content in accordance
with these Terms and the Terms and Conditions.
c.Your Submitted Content does not infringe upon or violate any
intellectual property rights of a third party.
d.You possess the appropriate qualifications, credentials, and
relevant expertise (including education, training, and experience) necessary to deliver the content
and provide the services you offer via the platform.
e.You will maintain a level of quality in your instruction and
services that aligns with industry standards and best practices.
You agree and guarantee that you will not engage in the following activities:
a.Share, post, or provide any content that is inappropriate,
offensive, discriminatory, hateful, sexually explicit, false, misleading, inaccurate, infringing,
defamatory, or otherwise unlawful.
b.Send or transmit unsolicited or unauthorized advertising,
promotional materials, spam, junk mail, or any form of solicitation—whether commercial or
otherwise—via the platform or to any user.
c.Use the platform for any purpose other than delivering
educational, instructional, or tutoring services to students.
d.Participate in any activity that would require Adhyaas to
obtain licenses from or pay royalties to third parties, including for public performances of music
or audio content.
e.Frame, embed, or manipulate the Services (such as embedding
free course content elsewhere) to bypass platform features or controls.
f.Impersonate another individual or attempt to access someone
else’s account without authorization.
g.Disrupt, interfere with, or obstruct other instructors from
offering their content or instructional services.
2. License to Adhyaas
You grant Adhyaas the rights outlined in the Terms and Conditions to offer, promote, and otherwise
utilize your Submitted Content. This includes permission to add captions or make other modifications
to enhance accessibility. Additionally, you authorize Adhyaas to sublicense these rights to third
parties, including students directly, as well as through partners such as resellers, distributors,
affiliate networks, deal platforms, and paid advertising channels on external platforms.
Unless otherwise specified (such as in our Promotions Policy), you may remove any or all of your
Submitted Content from the Services at any time. Except as otherwise agreed, Adhyaas’s right to
sublicense the content will end for new users 60 days after removal. However, (1) rights granted to
students prior to removal will remain valid in line with the applicable license terms, including any
lifetime access, and (2) Adhyaas’s right to use the content for marketing purposes will continue
beyond the removal.
We may record and use parts or all of your submitted content to check quality and help provide,
promote, or show how our services work. You also give Adhyaas permission to use your name, photo,
voice, and image when offering or promoting our Services, your content, or Adhyaas’s own content.
Where allowed by law, you agree not to claim rights like privacy or publicity for these uses.
3. Trust & Safety
3.1 Trust & Safety Policies
As an instructor on Adhyaas, you are expected to follow our platform standards, including all
content quality requirements and operational policies. These may be updated periodically, and
it's your responsibility to stay informed and in compliance.
Please note that your access to and use of our Services is subject to our approval, which may be
granted or revoked at our sole discretion.
We reserve the right to remove content, withhold earnings, or suspend or ban instructor accounts
at any time without prior notice, particularly in the following cases:
a. Your content or activities violate our policies or
legal agreements (including our Terms and Conditions).
b. The content falls below our quality standards or
negatively affects the student experience.
c. Your behavior harms Adhyaas's reputation or subjects
the platform to public criticism or harm.
d. You partner with marketers or third parties who
violate our platform policies.
e. You promote off-platform businesses in a way that
conflicts with our fair usage policies.
f. Any other circumstances where we deem it necessary to
protect the integrity of the platform.
3.2 Relationship to Other Users
As an instructor, you do not have a direct contract with students. The only student information
you will have access to is what is shared with you through the platform. You agree to use this
data solely for delivering your educational services via Adhyaas. You must not request
additional personal information or store any student data outside the Adhyaas platform.
You also agree to protect Adhyaas from any legal claims or liabilities that arise due to your
handling or misuse of student data..
3.3 Anti-Piracy Efforts
We work with anti-piracy partners to help safeguard your content from unauthorized distribution.
By using our platform, you authorize Adhyaas and its anti-piracy partners to act as your agents
in enforcing your copyright, including issuing takedown notices under relevant copyright laws
such as the DMCA.
You give Adhyaas and its partners the authority to file copyright claims on your behalf. These
rights will remain in effect unless you choose to revoke them by emailing support@flinty.io with
the subject line "Revoke Anti-Piracy Protection Rights" from your registered email address. The
revocation will take effect 48 hours after receipt.
4. Pricing
4.1 Instructor Program
Adhyaas provides optional marketing initiatives, as outlined in our Promotions Policy
("Promotional Programs"), to help increase your revenue potential. These programs are free to
join and do not require any upfront fees. You may adjust your participation status at any time,
although some programs may have specific rules regarding when changes can be made or how they
can be discontinued. Please note that any updates to your participation will not affect
campaigns that are already in progress.
4.2 Price Setting
Instructors have the freedom to set the price of their courses. When you create content to sell
on the platform, you can decide your Base Price. The amount that students will pay to access
your course. You also have the option to offer your course completely free, which can help you
build your audience, share knowledge widely, or support promotional strategies.
You can adjust your Base Price anytime based on the value of your course and your target
audience. Instructors who wish to attract more students or increase visibility may also choose
to apply discounts or special offers. These discounted prices can help boost enrollments during
specific promotional periods.
If you do not participate in any promotional campaigns, your course will be sold at the Base
Price you have set. However, if you do join promotions, your course may be sold at a discounted
or promotional rate.
In some cases, your content may be provided free of cost to Adhyaas staff, or users who are
regaining access to previously purchased content. In such cases, instructors will not be paid,
and this is considered part of the platform’s customer support and partner initiatives.
This flexible pricing system allows instructors to reach more learners and grow their presence
on Adhyaas while maintaining control over how their content is priced and distributed.
4.3 Transaction Taxes
If a student buys a product or service in a country where Adhyaas is legally required to collect
sales tax, value-added tax (VAT) GST, or similar transaction taxes ("Transaction Taxes"), we
will collect those taxes and pay them to the appropriate government authorities. In such cases,
we may increase the sale price to cover the required taxes.
5. Payments
5.1 Revenue Share
If a student buys a product or service in a country where Adhyaas is legally required to collect
sales tax, value-added tax (VAT) GST, or similar transaction taxes ("Transaction Taxes"), we
will collect those taxes and pay them to the appropriate government authorities. In such cases,
we may increase the sale price to cover the required taxes.
When a student purchases your content on Adhyaas, the Gross Sale Amount refers to the total
amount paid by the student for the course or learning material. Before calculating the
instructor's revenue share, we first deduct Transaction Taxes (including GST or any similar
applicable taxes as required by law) and Payment Gateway Charges (such as card processing or
bank transfer fees). These amounts are not included in the revenue share calculation and are
deducted upfront.
After these deductions, we determine the Net Sale Amount, which serves as the base for revenue
distribution between the instructor and Adhyaas.
Under the standard revenue share policy of Adhyaas, instructors will receive 70% of the Net Sale
Amount, while Adhyaas retains 30%. This model is designed to reward instructors fairly for their
contribution and to encourage the creation of high-quality content. The company’s 30% share is
used to maintain and enhance the platform, cover marketing costs, provide customer support, and
ensure smooth delivery of services to both instructors and students.
Payments to instructors will be made in Indian Rupees (INR) , depending on the instructor's
location and the payment method selected. Adhyaas processes payments on a monthly basis, subject
to a minimum payout threshold and successful completion of the payment cycle. Detailed earnings
reports will be provided to instructors via the platform dashboard, clearly outlining the sales,
applicable deductions, and final earnings due.
Instructors are responsible for ensuring the accuracy of their payment details and for complying
with any local tax obligations arising from their earnings. Adhyaas reserves the right to
withhold payments in the event of any suspected fraud, policy violations, or legal disputes
until such matters are resolved.
By participating in the Adhyaas instructor program, you acknowledge and accept this revenue
share model and agree to comply with all applicable tax and financial regulations in your
jurisdiction.
5.2 Instructor Coupons
As an instructor on Adhyaas, you have the option to create unique coupon codes to promote your
courses. These coupons allow you to offer your content at discounted prices or for free, helping
you attract more students and increase engagement. You can share these coupons directly through
your social media, email campaigns, or other personal marketing channels.
When a student enrolls using your coupon, you receive a higher revenue share, typically 70% of
the Net Amount, excluding taxes and payment gateway fees. This gives you more control over your
earnings and lets you build a stronger connection with your audience.
Please note, all coupon codes must comply with Adhyaas’s terms. They must not be sold on
third-party platforms or exchanged for compensation. Misuse of coupons can result in
restrictions on your instructor account. For transparency and fairness, coupon usage is
monitored.
5.3 Receiving Payments
As an instructor on Adhyaas, you will receive payments for the content you sell on the platform.
Your earnings will be calculated based on the revenue share model outlined in Section 5.1.
Currently, instructors receive 70% of the Net Amount (after deducting applicable taxes and
payment gateway charges), while Adhyaas retains 30%.
Payments are made in Indian Rupees (INR) , depending on your location and chosen payout method.
You must provide accurate payment details in your account settings to receive funds. Adhyaas
processes instructor payments on a monthly basis, and payouts are typically made within 30 days
of the end of each month, provided the minimum payout threshold is met.
If a transaction is refunded, reversed, or found to be fraudulent, the corresponding amount will
be adjusted or deducted from your earnings. Instructors are responsible for any bank fees,
foreign exchange charges, or transfer costs imposed by their chosen payment provider.
It is your responsibility to keep your payment and tax information up to date. Failure to do so
may delay your payments. For any issues or questions regarding your payouts, you can contact our
support team.
6. Trademarks
As a published instructor, you are permitted to use Adhyaas trademarks only when we have granted you
permission and as long as you follow the guidelines outlined below:
You must:
a. Use only the trademark images we provide, following
any branding or usage guidelines we may issue
b. Use our trademarks solely to promote or sell your
content on Adhyaas or to represent your participation on the platform.
c. Immediately stop using our trademarks if we request
you to do so.
You must not:
a. Use our trademarks in a way that is misleading,
harmful to our reputation, or inaccurate.
b. Suggest that Adhyaas endorses, sponsors, or approves
your content or services unless we explicitly say so.
c. Use our trademarks in connection with illegal,
obscene, or inappropriate content, or in violation of any laws.
7. Deleting Your Account
Before your account is removed, we’ll make commercially reasonable efforts to process any pending
payments owed to you. Please note that if students have already enrolled in your Submitted Content,
your name and that content may still be accessible to them even after your account is deleted. If
you experience any issues or need assistance with the deletion process, feel free to reach out to us
through our Support Center.
8. Miscellaneous Legal Terms
8.1 Updating These Terms
We may occasionally update these Terms to clarify our policies or reflect changes in our
practices, such as introducing new features. Adhyaas reserves the right to modify or update
these Terms at any time, at its sole discretion. If we make significant changes, we will inform
you through noticeable means, such as sending an email to the address linked to your account or
posting a notice on our platform. Unless otherwise stated, updates will take effect from the
date they are posted.
By continuing to use our Services after these updates take effect, you are agreeing to the revised Terms, which will replace all prior versions.

Where allowed by law, your continued use of the Services after the effective date will indicate

8.2 Translations
If these Terms are provided in a language other than English, it is for your convenience only.
In the event of any discrepancy or conflict between versions, the English version will take
precedence.
8.3 Relationship Between Us
You and we acknowledge that there is no joint venture, partnership, employment, contractor, or
agency relationship between us.
8.4 Survival
The following sections will remain in effect even after these Terms expire or are terminated:
Sections 2 (License to Adhyaas), 3.3 (Relationship to Other Users), 5.3 (Receiving Payments), 7
(Deleting Your Account), and 8 (Miscellaneous Legal Terms).
